The independence and impartiality for the safeguard of the common interests

The Common Representative of Bondholders (Common Representative) is the legal representative of the holders of the bonds issued pursuant to the Italian Civil Code.

The role of the Common Representative is governed by the Civil Code. It may be chosen outside of the bondholders and it is a best practice to choose an independent counterparty from the issuer and the bondholders in order to ensure the impartiality in the exercise of its functions.

The main tasks assigned to the Common Representative are:

  • The execution of the resolutions of the meeting of bondholders
  • The protection of the common interests of the bondholders coordinating the actions that bondholders intend to undertake
  • assistance in the bonds draw operations.
